Terms and Conditions

These Terms and Conditions (“Terms”) govern your use of mandaliya.com and the services provided by Mandaliya Software Private Limited, a private limited company incorporated in India (“Mandaliya Software”, “we”, “us” or “our”). By using our website, accepting a proposal or making a payment to us, you (“Client” or “you”) agree to these Terms.

1. Our services

We provide custom website development, web application development, mobile application development, UI/UX design and cloud/DevOps services. The scope, deliverables, timeline and price of each project are set out in a written proposal or quotation (the “Proposal”).

2. Quotes and proposals

Our prices are not fixed. Each project is quoted after we understand your requirements. A Proposal is valid for 30 days from the date it is sent, unless it states otherwise. A project starts only after you accept the Proposal and we receive the advance payment.

3. Payment terms

Prices are quoted and invoiced in US Dollars (USD), unless the Proposal states another currency.
Payments are made in stages: an advance payment before work begins, milestone payments after you review each completed milestone, and a final payment after you review the completed project, before handover or launch.
Payments can be made by credit card, debit card or bank transfer through Razorpay, or by any other method stated on the invoice.
Invoices are payable within 7 days of issue, unless the invoice states otherwise.
If a payment is overdue, we may pause work until it is received. We are not required to hand over or launch any work until all amounts due have been paid.
Prices exclude any applicable taxes, and any bank or card charges on your side.

4. Refunds and cancellations

Refunds and cancellations are governed by our Refund and Cancellation Policy, which forms part of these Terms.

5. Delivery of services

All our services are delivered digitally. We do not ship physical goods. Depending on the project, delivery is made by deploying the work to your server or hosting account, by publishing it to your app store account, or by sharing source code and design files electronically. Timelines given in the Proposal are estimates, not guarantees.

6. Client responsibilities

You are responsible for providing accurate requirements, content, access and other materials on time, and for making sure that the materials you provide do not infringe anyone else’s rights. We are not responsible for delays caused by late materials, feedback or approvals.

7. Review and approval

You will review each completed milestone and tell us of any corrections needed within the agreed scope. If we do not receive your feedback within 7 days of delivery, the milestone will be treated as approved. Once approved, a milestone is complete.

8. Changes to scope

Any work outside the scope described in the Proposal, including new features, additional pages or design changes after approval, is a change request. Change requests are quoted and billed separately.

9. Ownership of work

Once you have paid all amounts due for a project in full, you own the source code, designs and other deliverables created specifically for your project.
Until full payment is received, all rights in the deliverables remain with us.
Third-party items used in your project, such as open-source libraries, plugins, themes, fonts, stock images and APIs, remain subject to their own licences. Any licence fees for them are payable by you.
We keep the right to reuse general tools, code components, methods and know-how that are not specific to your project.

10. Portfolio

Unless you ask us in writing not to, we may display the finished project, your company name and your logo in our portfolio and marketing materials.

11. Third-party services

Your project may rely on third-party services, such as hosting providers, domain registrars, payment gateways, app stores and external APIs. We are not responsible for their availability, pricing, policy changes or failures.

12. Support after delivery

Our fee covers only the work described in the Proposal. Any maintenance, updates or support after handover is quoted and billed separately.

13. No warranties

Our services and deliverables are provided on an “as is” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied. We do not guarantee any business result, such as search engine rankings, traffic or sales.

14. Limitation of liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental or consequential loss, including loss of profits, revenue, data or business opportunity. Our total liability for any claim relating to a project is limited to the amount you paid us for that project.

15. Indemnity

You agree to indemnify us against any claims, losses or costs arising from the content or materials you supplied, or from your breach of these Terms.

16. Suspension and termination

We may suspend or terminate a project if a payment is overdue or if you breach these Terms. You may cancel a project as described in our Refund and Cancellation Policy. On suspension, termination or cancellation, you must pay for all work completed up to that date.

17. Use of our website

The content on mandaliya.com, including text, graphics and logos, belongs to Mandaliya Software unless stated otherwise. You may not copy or reuse it without our permission.

18. Governing law and jurisdiction

These Terms are governed by the laws of India. Any dispute arising from these Terms or our services is subject to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat, India.

19. Changes to these Terms

We may update these Terms at any time. The updated version will be posted on this page with a new effective date. Your continued use of our website or services after an update means you accept the updated Terms.
